These Terms of Use (the "Terms") constitute a legally binding agreement between you ("you" or "User") and Nanite Foundry, LLC ("Company," "we," "us," or "our") governing your access to and use of Clawzempic, the Company's services, software, application programming interfaces, proxy services, routing logic, memory optimization systems, dashboards, and related functionality (collectively, the "Service").
By accessing, registering for, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Service.
The Service is a technical infrastructure and optimization layer designed to receive, process, transform, store, summarize, and transmit user-provided inputs to third-party artificial intelligence systems designated by you. The Service is intended to improve efficiency, memory handling, context management, routing logic, and operational performance of AI agents and automated workflows.
The Service may perform intermediate processing, including summarization, truncation, reformatting, caching, or sequencing of inputs and outputs, solely for the purpose of facilitating communication with third-party systems.
You expressly acknowledge and agree that:
The Company's role is limited to providing technical infrastructure and optimization services.
In addition to routing, memory optimization, and transmission functionality, the Service may provide agent observability, performance analytics, regression testing, and conversation replay capabilities (collectively, "Observability Services").

You acknowledge that these features operate using automated, probabilistic systems and do not constitute compliance auditing, validation certification, or safety guarantees.
You represent and warrant that you are at least eighteen (18) years of age and have full legal capacity to enter into these Terms. If you use the Service on behalf of an entity, you represent that you have authority to bind that entity.
You may be required to create an account to access certain features of the Service. You agree to provide accurate, current, and complete information and to keep such information updated.
Use of the Service requires you to supply your own API keys, tokens, or credentials for third-party AI providers. You are solely responsible for:
The Company does not provide inference credits, does not resell third-party AI services, and is not responsible for third-party billing, outages, enforcement actions, or service changes.
As between you and the Company, you retain all right, title, and interest in and to all text, prompts, messages, instructions, configurations, workflows, and other content you submit through the Service ("User Content").
You grant the Company a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license during the Term to host, store, process, analyze, summarize, transform, transmit, reprocess, replay, benchmark, and generate derivative analytical data from User Content for the purposes of:
This license includes the right to resubmit historical prompts, conversations, and instruction files to third-party AI providers designated by you for purposes of comparative analysis.
Except for derivative analytical data and system-generated metrics created by the Service, ownership of User Content remains with you.
(a) No Training on Conversation Data.
Company will not use, and will not permit any third party to use, User Content, including without limitation any conversation data, prompts, responses, inputs, outputs, metadata, or other information submitted to or generated through the Services ("Conversation Data"), to train, fine-tune, or improve any general-purpose large language model or foundation model.
(b) Proxy Mode — No Persistent Storage.
When the Service is used solely as a proxy or routing layer (without Observability or Backtesting functionality enabled), the Company does not retain complete Conversation Data after transmission to the designated third-party AI provider, except for transient processing, system logging, and security purposes consistent with ordinary infrastructure operation.
(c) Observability and Backtesting Mode — Limited Retention.
When Observability Services or Backtesting functionality are enabled by you, the Company may temporarily store complete Conversation Data solely for the purpose of providing regression testing, replay, performance analytics, and user-directed backtesting.
Such storage will not exceed seven (7) days from the time of processing, after which complete Conversation Data will be deleted from active systems, except to the extent required for security logging, fraud prevention, legal compliance, or backup integrity.
(d) Infrastructure Improvements.
The Company may use Conversation Data solely to provide the Services and to improve infrastructure reliability, routing logic, memory optimization, performance benchmarking, abuse detection, and security of the Service. Such use does not include development of generative AI models.
(e) Memory Features — Fact Storage.
When Memory functionality is enabled by you, the Company may extract, derive, and store structured facts, preferences, identifiers, configuration data, or other informational elements determined by automated systems from Conversation Data ("Memory Data") solely for the purpose of making such facts available to your bot or workflow.
Memory Data may include limited excerpts of Conversation Data where necessary to preserve contextual accuracy; however, the Company does not store complete conversation transcripts in connection with Memory functionality unless Observability or Backtesting functionality is separately enabled.
Memory Data will be retained for as long as the Memory feature remains enabled. Upon deactivation of the Memory feature, Memory Data will be deleted from active systems within thirty (30) days, except as required for security logging, legal compliance, dispute resolution, fraud prevention, or backup integrity.
(f) Limited Snippet and Summary Use.
The Company may process and retain incomplete or partial Conversation Data, including individual message snippets, token counts, truncated segments, or automated summaries, solely for the purposes of:
Such processing does not include storage of complete conversation transcripts outside the limited retention periods described in this Section 3.3.
You are solely responsible for all outputs generated by third-party AI systems and for any decisions, actions, or omissions taken in reliance on such outputs. The Service may summarize, truncate, omit, delay, misroute, or otherwise alter information, and must not be relied upon as a system of record or source of truth.
The Service does not provide medical, mental health, legal, financial, or other professional advice. You acknowledge that AI-generated outputs may be inaccurate, incomplete, or misleading.
Performance reports, hallucination indicators, adherence percentages, regression comparisons, and similar analytics are generated through automated and probabilistic systems and may contain inaccuracies, false positives, false negatives, or incomplete assessments.
The Company does not warrant or guarantee that:
Observability outputs are provided solely for informational and diagnostic purposes and must not be relied upon as audit findings, compliance certifications, or safety validations.
You remain solely responsible for all decisions and actions taken in reliance on such analytics.
The Service is not a safety system, guardrail product, compliance monitor, or real-time intervention mechanism. The Company does not supervise or control the operation of your agents unless expressly agreed in writing.
The existence of Observability Services does not prevent agents from generating inaccurate, harmful, unlawful, or unintended outputs.
You may not use the Service for:
The Service is not designed or intended for high-risk or reliance-based use cases.
The Company is not responsible for enforcement actions, suspensions, bans, rate limiting, billing adjustments, or other actions taken by third-party AI providers or platforms. You acknowledge that third-party providers may change their APIs, pricing, policies, or access terms at any time, and the Company shall not be liable for any resulting disruption.
Certain features of the Service may require payment of fees. Fees, billing cycles, and payment terms will be disclosed at the time of purchase.
The Company may offer a free usage tier subject to usage limits determined by the Company in its sole discretion. Upon exceeding such limits, access may be suspended unless you subscribe to a paid plan.
Except as required by law, all fees are non-refundable.
Access to historical performance reports, regression comparisons, analytics dashboards, and Backtesting results may require an active paid subscription.
Upon expiration, downgrade, or termination of a subscription:
You are solely responsible for exporting any data prior to termination.
The Company may suspend your access to the Service, in whole or in part, immediately and without notice if it determines that your use poses legal, regulatory, security, or operational risk.
The Company may terminate your access at any time, with or without cause. Upon termination, your right to use the Service ceases immediately.
The Service is provided "as is" and "as available." To the maximum extent permitted by law, the Company disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and reliability. The Company does not warrant that the Service will be uninterrupted, error-free, or free of data loss.
The Company disclaims all liability arising from or related to: inaccuracies in performance analytics; model-dependent variability; regression analysis outputs; reliance on hallucination detection metrics; deletion of historical observability data after subscription lapse.
To the maximum extent permitted by law: the Company shall not be liable for indirect, incidental, consequential, special, or punitive damages; the Company shall not be liable for third-party AI outputs, platform enforcement actions, or data loss; and the Company's total liability shall not exceed the greater of (a) the amount paid by you to the Company in the three (3) months preceding the claim or (b) USD $29.
The limitations set forth herein apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise.
You agree to indemnify, defend, and hold harmless the Company from any claims arising out of your use of the Service, your User Content, your violation of these Terms, or your violation of applicable law or third-party terms.
Prior to initiating arbitration, the parties shall attempt in good faith to resolve any dispute, claim, or controversy arising out of or relating to this Agreement (a "Dispute") through informal discussions. Either party may initiate such discussions by providing written notice describing the Dispute in reasonable detail. Within ten (10) business days following receipt of such notice, each party shall designate a representative with authority to resolve the Dispute, and such representatives shall meet (in person or by videoconference) to attempt resolution. If the Dispute is not resolved within thirty (30) days following initiation of informal resolution, either party may proceed to arbitration in accordance with Section 11.2.
Except as expressly provided in Section 11.4, any Dispute not resolved pursuant to Section 11.1 shall be finally resolved by binding arbitration administered by JAMS in accordance with its Comprehensive Arbitration Rules and Procedures then in effect. The arbitration shall be conducted before a single arbitrator with substantial experience in technology and commercial matters, selected by mutual agreement of the parties or, failing such agreement, appointed by JAMS.
The arbitration shall be seated in Wilmington, Delaware, and shall be conducted in the English language. The arbitrator shall have authority to award any relief that would be available in a court of competent jurisdiction, including injunctive relief and attorneys' fees where permitted by this Agreement, but shall have no authority to award punitive or exemplary damages except to the extent expressly permitted by applicable law. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
The arbitration proceedings, including all pleadings, evidence, testimony, filings, orders, and awards, shall be confidential and shall not be disclosed by either party except to the extent necessary to enforce an award, comply with applicable law, or as otherwise required by a court or governmental authority.
Notwithstanding Sections 11.1 and 11.2, either party may seek temporary, preliminary, or permanent injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or Confidential Information, without first engaging in informal resolution or arbitration, and without waiving any other rights or remedies under this Agreement.
This Agreement and any Dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
The prevailing party in any arbitration or court proceeding arising out of or relating to this Agreement shall be entitled to recover its reasonable attorneys' fees and costs, in addition to any other relief to which it may be entitled.
All Disputes shall be resolved on an individual basis. You agree that you will not bring or participate in any class, consolidated, or representative action against the Company.
The Company may modify these Terms at any time. Continued use of the Service after changes become effective constitutes acceptance.
These Terms constitute the entire agreement between you and the Company regarding the Service. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
